After 30 years as a successful securities lawyer with emphasis on companies traded or wishing to be traded on the TSX Venture Exchange (and its predecessors), I left the formal practice of law in 2011 in order to apply my legal, management and organizational skills and industry contacts to emerging public companies in need of a qualified officer or independent director.  I am an approved officer/director by the TSX Venture Exchange.  I currently have retired status with the Law Society of BC.


I love the challenge of assisting emerging companies to become successful public companies and to comply with the ever-changing regulatory and corporate governance landscape.  I only assist companies that I believe in and so I often invest in these companies.  My strengths include being able to see the bigger picture and working well with senior management and the other members of the “team”.

2012 to date:  Established Decipher Capital whose business includes the above activities.

2010 to 2016:  Founded and financed Anergy Capital Inc. as a CPC on TSXV and then sourced a marine technology acquisition (Kraken Sonar Systems) through my contacts in the investment banking sector.  Completed the acquisition in February 2015 after conducting extensive due diligence and raising financing.  Stepped down as CEO and became an independent director for about 2 years.  Trading symbol:  PNG

2012 to 2015:  Executive Vice President and/or Corporate Secretary of Sunrise Resources Ltd., a copper/gold exploration company.

2012 to 2014:  Corporate Secretary of Petro Viking Energy Inc., a small oil producing company.

2009 to 2012:  Founded and financed Encap Investments Inc. as a CPC on TSXV and then sourced a cleantech acquisition (Low Carbon Technologies) through my contacts in the investment banking sector.  Completed the acquisition in 2012 after complex due diligence and then left the company in order to focus more on Anergy Capital (see above).

2003 to 2011:  Executive Vice President and/or Corporate Secretary of GWR Resources Inc., a copper/gold exploration company.  I was also its legal counsel for approximately 15 years.

2003 - 2006:  Corporate Secretary of Kelso Technologies Inc., a railway equipment supply company.  I was also its legal counsel for approximately 15 years.

1981 to 2011:  Practiced corporate and securities law at a mid-sized law firm followed by several boutique firms including one which I co-founded. Most of my practice entailed representing issuers, including taking them public on the TSX Venture Exchange (and predecessors) and/or handling their ongoing legal and regulatory affairs (including corporate governance and structuring and negotiating financings, acquisitions, and dispositions). I also advised the corporate finance departments of several local brokerage firms in respect of various IPOs and financing transactions.
